These Terms of Service (“Terms”) govern your access to and use of our website, digital collections, blockchain minting tools, artificial intelligence services, and related applications (collectively, the “Services”).By using our Services, you agree to be bound by these Terms and by our [Privacy Policy]. If you do not agree, you may not use the Services.
1. About the Eternal Library Foundation
The Eternal Library Foundation is a non-profit cultural and educational organization incorporated in the State of Wyoming,United States, dedicated to preserving, activating, and transmitting cultural memory through emerging technologies, including blockchain certification, artificial intelligence, and immersive media.
We provide access to public and private collections, digital exhibitions, and educational experiences to foster inclusivity and sustainable knowledge transmission for future generations. Although primarily non-profit, certainServices may include limited mission-aligned commercial offerings—such as curated licensing programs or private digital archives—operated solely to support our educational mission.
All revenue is reinvested into the Foundation’s charitable objectives.
2. Use of Services
2.1 Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement.
By accessing the Services, you represent that: you are not located in or subject to U.S. trade or financial sanctions; and your use complies with all applicable local, state, federal, and international laws.
2.2 Permitted Use
Our Services are intended for educational, cultural, and archival use.
You may not use them for speculative, financial, or illegal purposes, including:
• token speculation,
• unregistered securities offerings,
• or fundraising campaigns outside of approved nonprofit programs.
2.3 Wallets and Minting
When connecting a digital wallet to mint or authenticate digital items (“Eternal Tokens”):
• ELF does not control or have custody of user wallets, private keys, or blockchain transactions.
• Transactions are permanent and irreversible.
• You are responsible for the legality, authenticity, and intellectual property of all content you upload or mint.
• Minted assets represent certificates of participation or preservation, not investment instruments.ELF does not act as a broker, exchange, custodian, or investment advisor.
2.4 AI and Automated Tools
Certain Services may use artificial intelligence for metadata generation, digital restoration, or curatorial assistance.
You agree not to misuse AI outputs and acknowledge:
• Generated or suggested data may not be error-free.
• AI outputs remain subject to ELF’s intellectual property and ethical guidelines.
• You may not represent AI-generated content as verified historical fact.
3. Intellectual Property
3.1 User Content
You retain ownership of your uploaded or minted content (“User Content”).
By submitting it, you grant ELF a non-exclusive, worldwide, royalty-free, perpetual license to:
• host, store, reproduce, and display your content;
• exhibit it in cultural or educational programs;
• and promote it within the Eternal Library ecosystem.
You represent and warrant that you own all rights and that your content does not infringe any copyright, trademark, privacy, or publicity rights.
3.2 Foundation Content
All ELF content—including text, images, trademarks, metadata, source code, and audiovisual material—remains the exclusive property of the Foundation or its licensors. Use of ELF’s name, logo, or marks without prior written consent is strictly prohibited.
3.3 Copyright Policy
ELF complies with the Digital MillenniumCopyright Act (DMCA).
Claims should be sent to copyright@eternallibrary.ai with a formal DMCA notice including identification of the infringing material and your contact details.
4. Privacy and Data Protection
We comply with applicable privacy laws including the Wyoming Consumer Privacy Act, GDPR, and U.S.federal standards.
Our [Privacy Policy] details how we collect, use, store, and secure your data.
We collect only minimal information—such as your email, connected wallet, and technical logs—to operate the Services.
We never sell or trade personal data.
You may request data deletion or access at privacy@eternallibrary.ai.
Cross-Border Data Transfers:
Data may be processed or stored outside your country, in jurisdictions with equivalent data protection safeguards.
By using our Services, you consent to such transfers.
Blockchain Transparency Notice:
Certain blockchain activity is public and immutable. ELF cannot delete on-chain records once written. We minimize the storage of personal data on blockchains and ensure anonymization whenever possible.
5. Acceptable Use
You may not use the Services to:
• Upload or mint unlawful, defamatory, hateful, or explicit material;
• Infringe intellectual property rights;
• Misrepresent your identity or impersonate others;
• Conduct phishing, spamming, or fraud;
• Deploy bots, scrapers, or similar automated tools;
• Circumvent or disable security features; or
• Create or trade assets for speculation or investment.
ELF may suspend or terminate any account violating these standards.
6. Limited Commercial Use
Paid or subscription services may include:
• custom digital curation,
• institutional archives, or
• private cultural collections.
All proceeds fund ELF’s educational and preservation programs.
No Service or digital asset shall be interpreted as a security, investment, or promise of profit.
7. Disclaimers and Risk
The Services are provided “as is” and“as available.”
ELF makes no warranties of uninterrupted operation, permanent hosting, or valuation of digital assets.
Blockchain and AI technologies involve inherent risks, including:
• transaction irreversibility,
• volatility,
• smart contract vulnerabilities,
• or third-party service disruptions.
You assume all such risks. ELF is not responsible for:
• user errors (lost keys, wrong addresses),
• third-party breaches,
• network failures, or
• external platform issues.
8. Indemnification
You agree to indemnify and hold harmlessELF, its officers, employees, and affiliates from any claims or damages arising out of:
• your use of the Services,
• your User Content, or
• your violation of these Terms or any law.
9. Limitation of Liability
To the fullest extent permitted by law:
• ELF is not liable for any indirect, incidental, or consequential damages (including loss of profits or data).
• Our total cumulative liability shall not exceed USD $100 or the amount you paid to ELF, whichever is greater. Certain jurisdictions may not allow these limits; in such cases, applicable law prevails.
10. Governing Law and Dispute Resolution
These Terms are governed by Wyoming law, without regard to conflict-of-law principles.Disputes shall be resolved as follows:
a. Informal Negotiation: Within 30 days of written notice.
b. Arbitration: If unresolved, binding individual arbitration under the Wyoming Uniform Arbitration Act, in English, seated in Teton County, Wyoming.
c. No Class Actions: You waive rights to class or collective proceedings.
11. Termination
ELF may suspend or terminate access for violations or legal compliance.
You may terminate by disconnecting your wallet or deleting your account.
Sections 3–10 survive termination.
12. Transparency and Nonprofit Compliance
ELF maintains financial and governance transparency consistent with IRS 501(c)(3) and Wyoming charitable regulations.
Annual impact and financial reports are made public.
13. Modifications
We may revise these Terms at any time.
Material changes will be announced via the website or direct notification.
Continued use constitutes acceptance of the updated Terms.
